Welcome to the SaaS platforms operated by DATASMITH AI SOLUTIONS PVT. LTD. (“we,” “our,” or “us”), an ISO 27001-certified company headquartered in Pune, India.

These Terms & Conditions (“Terms”) govern your access to and use of our web-based applications and services—including TenderGenie.ai, FlipGenie.ai, UXccelerate.ai, and any related APIs or integrations (collectively, “the Platform”).

By using or accessing our Platform, you agree to comply with these Terms. If you do not agree, please discontinue use immediately.

1. Definitions

• User – any individual or organization accessing the Platform.
• Services – all SaaS features provided, including document upload, AI-based processing, analytics, collaboration, and workflow automation.
• Content – any data, text, files, or documents uploaded or generated by Users.
• Subscription Plan – the selected pricing or license tier.

2. Acceptance of Terms

• Are 18 years or older and legally capable of entering into this agreement.
• Will provide accurate and complete information.
• Are responsible for maintaining the confidentiality of your credentials and account activity.
• If acting on behalf of a company, you represent that you have authority to bind it to these Terms.

3. Use of Services

Use the Platform only for lawful business purposes. Do not:

• Upload malicious code or attempt to disrupt service performance.
• Infringe others’ intellectual property or privacy rights.
• Post illegal, offensive, or defamatory material.
• Attempt unauthorized access to systems or data.

We may suspend or terminate accounts that violate these rules.

4. Subscription, Billing & Payments

• Some features require a paid subscription.
• Fees are billed in advance and non-refundable unless otherwise specified by law.
• Subscriptions renew automatically unless cancelled before renewal.
• Taxes apply based on billing address.
• You authorize DATASMITH AI SOLUTIONS PVT. LTD. to charge the registered payment method for recurring fees.

5. Service Availability

We target 99 % uptime, though temporary interruptions may occur for maintenance or third-party outages.
We will endeavour to notify Users of planned downtime.

6. Data Ownership & Usage

• You retain full ownership of all uploaded data and documents.
• You grant us a limited, non-exclusive license to process and store data solely to deliver Services.
• We will never sell or share your data for marketing.
• After subscription termination, you may export your data within 30 days; after that it may be securely deleted.

7. Intellectual Property

All software, algorithms, models, designs, and trademarks are the property of DATASMITH AI SOLUTIONS PVT. LTD.
Unauthorized copying, reverse-engineering, or resale is prohibited.

8. Confidentiality

All information handled through the Platform is protected under our ISO 27001 information-security framework.
We disclose user data only when legally required or to trusted service providers bound by confidentiality agreements.

9. Limitation of Liability

• We are not liable for indirect or consequential losses, including lost profits or data.
• Our total liability will not exceed the fees paid by you in the preceding 12 months.

10. Termination

• We may suspend or terminate your account for non-payment, security risks, or breach of these Terms.
• You may cancel at any time; refunds follow plan-specific rules.

11. Modifications

We may revise these Terms from time to time.
Updates take effect when posted on our website. Continued use constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of India.
Disputes will fall under the exclusive jurisdiction of courts in Pune, Maharashtra, India.
